Fox Digitech Finance Limited endeavors to recuperate the lives of the community, especially the socially andeconomically underprivileged communities, by making a long term, measurable and positiveimpactthrough projectsin theareasof:

RESOURCES
The company endeavors to utilize two percent of its average net profits of the Company made during threeimmediately preceding Financial Years.
Further, the company being committed towards the goal of financial upliftment of weaker sections, any surplus arising out of Corporate Social Responsibility(hereinafter as CSR) projects, programs or activities shall not form part of the business profit of the Companyandshall be compulsorily ploughedbackforCSR activities.
SECTORSANDISSUES:
- Eradicating hunger, poverty, and malnutrition, promoting health care including preventive health care and sanitation including contribution to the Swachh Bharat Kosh set-up by the Central Government for the promotion of sanitation and making available safe drinking water.
- Promoting education, including special education and employment enhancing vocation skills especially among children, women, elderly, and the differently abled and livelihood enhancement projects.
- Promoting gender equality, empowering women, setting up homes and hostels for women and orphans; setting up old age homes, day care centers and such other facilities for senior citizens and measures for reducing inequalities faced by socially and economically backward groups.
- Ensuring environmental sustainability, ecological balance, protection of flora and fauna, animal welfare, agroforestry, conservation of natural resources and maintaining quality of soil, air and water including contribution to the Clean Ganga Fund set-up by the Central Government for rejuvenation of river Ganga.
- Protection of national heritage, art and culture including restoration of buildings and sites of historical importance and works of art; setting up public libraries; promotion and development of traditional art and handicrafts.
- Measures for the benefit of armed forces veterans, war widows and their dependents, Central Armed Police Forces (CAPF) and Central Para Military Forces (CPMF) veterans, and their dependents including widow.
- Training to promote rural sports, nationally recognized sports, paralympic sports and Olympic sports
- Contribution to the prime minister’s national relief fund 8[or Prime Minister’s Citizen Assistance and Relief in Emergency Situations Fund (PM CARES Fund)] or any other fund set up by the central govt. for socio economic development and relief and welfare of the schedule caste, tribes, other backward classes, minorities, and women.
- Contribution to incubators or research and development projects in the field of science, technology, engineering, and medicine, funded by the Central Government or State Government or Public Sector Undertaking or any agency of the Central Government or State Government; and
- Contributions to public funded Universities; Indian Institute of Technology (IITs); National Laboratories and autonomous bodies established under Department of Atomic Energy (DAE); Department of Biotechnology (DBT); Department of Science and Technology (DST); Department of Pharmaceuticals; Ministry of Ayurveda, Yoga and Naturopathy, Unani, Siddha and Homoeopathy (AYUSH); Ministry of Electronics and Information Technology and other bodies, namely Defense Research and Development Organization (DRDO); Indian Council of Agricultural Research (ICAR); Indian Council of Medical Research (ICMR) and Council of Scientific and Industrial Research (CSIR), engaged in conducting research in science, technology, engineering and medicine aimed at promoting Sustainable Development Goals (SDGs)
- Rural development projects
- Slum area development
- Disaster management, including relief, rehabilitation, and reconstruction activities.

IMPLEMENTING MECHANISM
The company endeavors to implement its projects only through Registered agencies /entities as specified under the provisions of the Companies Act, 2013 and the Rules framedthereunder,asamendedfromtimetotime.
ANNUAL ACTION PLAN
- The Annual Action Plan shall coverthe details of the CSR projects / programs to be undertaken, manner of execution, modalities ofutilization of funds and implementation schedules, monitoring and reporting mechanism and theneedand impactassessmentoftheCSR projects,ifany.
- The CSR Committee shall then recommend the same to the Board of Directors for approval.
- The Company envisions to and shall formulate and recommend the Annual Action Plan,includinganyalterationsthereto,totheCSRCommittee.
MONITORING MECHANISM
By partner organizations andperiodic monitoring and reviews will be undertaken by the CSR team and CSR Committee of theBoard
COMPOSITION OF THE CSR COMMITTEE OF THE BOARD
The CSR Committee shall comprise of three or more Directors of which, at least one would be anIndependentDirector.
BOARD REPORT
The company envisions to provide the following information regarding the board report periodically as mandated by law.
- Brief outline of CSR Policy
- Composition of CSR Committee
- Web-Link where composition of CSR Committee, Policy and projects approved are disclosed
- Details of Impact Assessment of CSR project, if applicable attach report and give amount spent on Impact Assessment.
- Details of amount available for set off
- CSR amount spent/unspent for the financial year.
- Details of CSR amount spent against Ongoing Projects and other than ongoing projects for the financial year.
- Details relating to creation or acquisition of capital asset through CSR spent in the financial year. Reason, if company fails to spend CSR obligation.
WAIVER AND AMENDMENTS TO THE CODE
This policy is subject to the modifications and no amendment/waiver of any provision of the code is possible unless approved in writing by the Board of Directors of the Company.
DISCLOSURES
The Policy shall be disclosed in the Company’s website.
DISCLAMAIR
- That it shall be obligatory on the part of every Director and Senior Management team Member to make an annual disclosure under this policy affirming their adherence to the policy on annual basis in the format appended.
- That this policy is in addition to and not in derogation with any Act, Law, rules, and regulations that governs the conduct of Board Directors.
- That his disclosure shall be made to the Board of Directors on 01 April, for the financial year preceding the date.
